By accessing or using the website at www.lueminbo.shop (the "Site") and the services provided by Kunming Lueminbo Commerce And Trade Co., Ltd. (the "Company"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree with any part of these Terms, you must not access or use our Site or services. These Terms constitute a legally binding agreement between you and the Company. We reserve the right to update or modify these Terms at any time without prior notice. Your continued use of the Site following any changes constitutes acceptance of the revised Terms.
We provide professional services in computer systems design, systems integration, cloud architecture, cybersecurity consulting, data engineering, and IT strategic consulting. The scope, deliverables, timelines, and fees for specific services shall be defined in a separate Service Agreement or Statement of Work (SOW) executed by both parties.
You may use our Site for lawful purposes only. Prohibited activities include violating any applicable law, attempting unauthorized access, introducing malicious software, disrupting Site functionality, using automated extraction tools without consent, or misrepresenting your identity. Account holders are responsible for maintaining the confidentiality of their login credentials.
All content on this Site — including text, graphics, logos, icons, images, code — is owned by the Company and protected by applicable intellectual property laws. Our company name and related marks are our trademarks. Client deliverables are transferred upon full payment of all applicable fees. You may not reproduce, distribute, or commercially exploit any content without our written consent.
Clients agree to provide accurate and timely information, designate an authorized point of contact, ensure proper licensing of provided materials, cooperate in good faith, pay all fees as agreed, and comply with all applicable laws and regulations.
Invoices are due within thirty (30) days of the invoice date. Late payments may incur interest at 1.5% per month. The Client is responsible for all applicable taxes and duties. Services may be suspended for accounts that are past due. Fees are non-refundable except as expressly stated in the Service Agreement.
Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the business relationship, including business plans, technical data, trade secrets, client lists, and financial information. These obligations shall survive termination for five (5) years, or indefinitely for trade secrets.
To the maximum extent permitted by applicable law, our liability shall not exceed the total fees paid for the specific service in the preceding twelve (12) months. We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business interruption.
Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
You agree to indemnify and hold harmless the Company, its officers, directors, employees, agents, and affiliates from any claims, damages, losses, and expenses arising from your violation of these Terms, applicable laws, or infringement of third-party rights.
Either party may terminate with thirty (30) days written notice, or immediately for material breach not cured within fifteen (15) days. Fees incurred up to the termination date remain payable. Sections relating to intellectual property, confidentiality, liability, and dispute resolution survive termination.
Neither party shall be liable for delays or failures due to events beyond reasonable control, including acts of God, natural disasters, war, terrorism, government actions, pandemics, strikes, or infrastructure failures.
These Terms are governed by the laws of the People's Republic of China. Disputes shall first be resolved through good-faith negotiations. If unresolved within thirty (30) days, they shall be submitted to binding arbitration by CIETAC in Kunming, Yunnan, conducted in English. The award shall be final and binding.
